These Terms of Service ("Terms") govern your use of Servio One's business management software and related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using our Services, you confirm that you:
- Are at least 18 years of age
- Have the authority to enter into these Terms on behalf of yourself or your organisation
- Agree to comply with all applicable laws and regulations
2. Description of Services
Servio One provides cloud-based business management software including but not limited to:
- Customer Relationship Management (CRM)
- Human Resources Management
- Financial Management and Invoicing
- Project and Task Management
- Asset and Inventory Tracking
- Reporting and Analytics
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.
3. Account Registration
To use our Services, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorised access
- Be responsible for all activities under your account
4. Subscription and Payment
4.1 Fees
You agree to pay all fees associated with your chosen subscription plan. Fees are quoted in British Pounds (GBP) and are exclusive of VAT unless stated otherwise.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. Payment is due upon invoice unless otherwise agreed.
4.3 Cancellation
You may cancel your subscription at any time. Upon cancellation:
- Access continues until the end of your current billing period
- No refunds are provided for partial periods
- You are responsible for exporting your data before access ends
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Upload malicious code or attempt to compromise system security
- Interfere with other users' access to the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Resell or redistribute the Services without authorisation
- Use automated systems to access the Services beyond normal API usage
- Store or transmit content that infringes intellectual property rights
6. Data and Privacy
6.1 Your Data
You retain all rights to the data you upload to our Services ("Your Data"). You grant us a limited licence to use Your Data solely to provide the Services.
6.2 Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws including the UK GDPR.
6.3 Data Security
We implement appropriate technical and organisational measures to protect Your Data. However, you acknowledge that no system is completely secure.
7. Intellectual Property
All intellectual property rights in the Services, including software, designs, and documentation, remain with Servio One. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for loss of data, profits, or business opportunities
- We are not liable for events beyond our reasonable control
9. Indemnification
You agree to indemnify and hold Servio One harmless from any claims, damages, or expenses arising from:
- Your use of the Services
- Your breach of these Terms
- Your violation of any third-party rights
- Content you upload to the Services
10. Service Availability
We aim to provide 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. We will provide reasonable notice of planned maintenance where possible.
11. Termination
We may suspend or terminate your access if:
- You breach these Terms
- Payment is overdue
- Required by law
- Your use poses a security risk
Upon termination, your right to use the Services ends immediately. Provisions that should survive termination will remain in effect.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance of the modified Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
